Partner terms
What you earn, what you pay, who owns the work and how either side can end it. The same terms go into the partner agreement we sign with you.
This page summarises the partner agreement. The signed agreement is the binding document, and where the two differ, the agreement applies. Questions before you register go to partners@solinovo.com.
Part 1
Referral partners
You introduce a business, it contracts with us directly, and you earn a commission on what it pays.

What the commission is paid on
You earn 15% of the service fees the client pays us in their first 12 months, counted from the client's first invoice.
Service fees are what we charge for our own work: design, build, delivery and support. Third-party costs we pass through at cost are excluded, such as AI model usage, hosting, software licences and paid APIs.

Unpaid and refunded fees
No commission is due on fees the client has not paid, or on fees we refund or credit back to them.
If we refund a fee after paying commission on it, the commission on that amount is deducted from your next payout.

How and when you are paid
We pay within 15 days of receiving each client payment, in US dollars, by bank transfer or Payoneer, whichever you choose.
If the commission owed is less than $100, it is carried over and paid with the next payout. Anything still owed when the agreement ends is paid in full, whatever the amount.
Each payout comes with a statement showing the client payments it was calculated from.

Taxes
Each side is responsible for its own taxes. We pay commission gross and you declare it where you are tax resident.
If Pakistani law requires us to withhold tax on a payment to you, we deduct it and send you the certificate. Commission received from another country can be taxed differently, so check with your own accountant.

Businesses we already know
No commission is due on a business that was already our client, or that we were already in contact with about a project, when you registered it.
If that is the case, we tell you when we review your registration, before you make the introduction.
Part 2
White-label partners
You sell under your own brand, we build and maintain behind the scenes, and you pay us a fixed, agreed rate.
- 2.1
Payment terms
Each project starts on a 50% deposit, with the remainder due on delivery. Monthly support is invoiced at the start of each month.
Invoices are due within 14 days, in US dollars unless we agree otherwise in writing.

Late payment
If an invoice is more than 14 days overdue, we may pause work and support on that project after telling you in writing. Work resumes once the account is settled.
Delivery dates move by the length of any pause.
- 2.3
Who owns the work
Once we are paid in full for a project, ownership of the code and deliverables built for it passes to you, or directly to your client if you ask us to.
We keep ownership of the general tools, libraries and know-how we bring to every project, and you receive a permanent licence to use whatever of them the delivered work depends on.

Who talks to the client
You are your client's point of contact. You handle the relationship, the questions and the first line of support.
We handle the technical work: fixes, updates and monitoring, reported to you. We do not contact your client unless you ask us to, and then under your brand.

Limit of liability
Our total liability for any project is limited to the fees you have paid us for that project.
Because our name does not appear to your client, your contract with them is yours. Commitments you make to your client beyond what we have agreed with you in writing are your responsibility.

Non-solicitation, both ways
We never approach your clients directly, during the agreement or after it.
In return, you do not hire or engage our engineers or staff, directly or through another company, while the agreement runs and for 12 months after it ends, unless we agree in writing.
Part 3
All partners
The terms that apply whichever model you choose.
- 3.1
Confidentiality and lead registration
We sign an NDA before any client information is shared, and neither side goes around the other to reach a client or lead.
A lead you register stays yours for 90 days from the date we confirm it.
- 3.2
Governing law and disputes
The partner agreement is governed by the laws of Pakistan.
If a dispute arises, both sides first try to settle it in good faith within 30 days. If that fails, it goes to arbitration in Lahore, Pakistan, conducted in English, whose decision is final and binding on both sides.
- 3.3
Ending the agreement
Either side can end the agreement with 30 days' written notice.
Referral partners keep earning commission on clients introduced before the agreement ends, for the rest of each client's 12-month commission period. White-label projects already under way are finished and paid for on the terms agreed, and support continues until the end of the paid period.
Confidentiality and non-solicitation continue after the agreement ends.
